Cyan Limited approves in-principle amalgamation with DH Partners, Dawood Lawrencepur

October 29, 2025 (MLN): The Board of Directors of Cyan Limited has granted in-principle approval to amalgamate the company with DH Partners Limited and Dawood Lawrencepur Limited under a Scheme of Arrangement, according to the Company's filing on PSX revealed today. 

The decision was taken during a board meeting held on Tuesday at Dawood Centre, Karachi, and via Zoom conferencing, where the directors also approved the company’s unaudited condensed interim financial statements for the nine months ended September 30, 2025.

According to the company’s notice to the Pakistan Stock Exchange (PSX), the proposed amalgamation aims to unlock enhanced shareholder value by achieving operational, structural, and governance efficiencies and offering investors the opportunity to participate in a more diversified asset base.

The Board has authorized management to appoint advisors and finalize the terms and structure of the proposed merger for formal consideration and approval.

Cyan Limited clarified that the proposed amalgamation is subject to final approval from the respective Boards and shareholders of the involved companies, along with necessary corporate, regulatory, and third-party clearances, and the sanction of the High Court.
