CCP approves PTCL’s acquisition of Telenor Pakistan

October 01, 2025 (MLN): The Competition Commission of Pakistan (CCP) has approved Pakistan Telecommunication Company Limited (PSX: PTC) for its proposed acquisition of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited, a major development in the country’s telecom sector.

According to a filing with the Pakistan Stock Exchange (PSX), the approval was accorded through a Phase-II Order issued under Section 11(2) of the Competition Act, 2010 and the Competition (Merger Control) Regulations, 2016.

PTCL had earlier entered into a Share Purchase Agreement (SPA) with Telenor Pakistan BV (TPBV) on August 14, 2024, for the acquisition of the entire issued share capital of both entities.

The company had first notified the bourse about the transaction in December 2023.

The CCP’s clearance marks a key milestone in the transaction.

However, PTCL noted that the deal remains subject to the completion of other corporate and regulatory requirements, execution of necessary agreements and instruments, and fulfillment of closing obligations before it can be finalized.

The acquisition, once completed, is expected to reshape Pakistan’s telecom landscape significantly, positioning it as one of the largest players in the sector.
