Zuma Resources plans Rs350m SPAC to target AI

November 2, 2026 (MLN): Zuma Resources Limited (PSX: ZUMA) is planning to establish and sponsor a Special Purpose Acquisition Company (SPAC) with a proposed capital of Rs350 million, aiming to pursue merger and acquisition opportunities in technology, artificial intelligence (AI), digital connectivity and other eligible high-growth sectors.
According to a material information disclosure submitted to the Pakistan Stock Exchange (PSX) on November 2, the company's board of directors approved the proposal at a meeting held on October 30, 2026.
The proposed entity, tentatively named Zuma SPAC-I Limited, would seek a listing on the Pakistan Stock Exchange, subject to applicable regulatory requirements and necessary approvals.
As part of the initiative, Zuma Resources intends to provide shares in the proposed SPAC free of cost to its existing shareholders, creating a potential opportunity for them to hold a direct stake in a separately listed investment and acquisition vehicle.
Existing shareholders to receive SPAC shares
Under the proposed arrangement, eligible shareholders of Zuma Resources would receive SPAC shares without making any subscription payment.
The allocation would be made on a proportionate basis according to each shareholder's existing stake in Zuma Resources. The company said the allocation ratio and eligibility date would be finalised and announced at a later stage.
The proposed distribution would involve allocating or transferring a portion of Zuma Resources' shareholding in the SPAC to its existing shareholders.
However, the free-share arrangement remains subject to the establishment and proposed listing of the SPAC, applicable sponsor-shareholding and transfer restrictions, necessary corporate and regulatory approvals, and the finalisation of a legally permissible distribution mechanism.
The company described the initiative as an effort to enhance shareholder value by creating an opportunity for existing investors to gain direct ownership in a separate investment vehicle.
Focus on acquisitions in high-growth sectors
The proposed SPAC would seek merger and acquisition opportunities across technology, artificial intelligence, digital connectivity and other eligible high-growth industries.
A Special Purpose Acquisition Company is generally established to pursue a merger, acquisition or similar business combination. In this case, Zuma Resources has outlined the proposed capital structure and target sectors but has not identified a specific acquisition target in its disclosure.
The company has also not announced a definitive timeline for the SPAC's establishment or listing, or disclosed the final terms governing the proposed allocation of shares to existing shareholders.
The proposal therefore remains at the planning stage, with its implementation dependent on regulatory clearances and the completion of the required corporate and legal arrangements.
Zuma Resources said it would keep the exchange informed of material developments in accordance with applicable regulations.
