SE Fruits IPO: Will Underwriters Have to Pick Up the Retail Gap?

October 07, 2026 (MLN): More than a week after the general public finished subscribing to SE Fruits and Vegetable Limited's (SEFL) initial public offering, there is still no public word on how much of the retail portion was taken up, even though the deadline to allot shares passed on Tuesday, October 6.

Subscription for the 7.5 million shares reserved for the general public, 25% of the 30 million-share issue, closed on September 29. The book-building leg was reported promptly. The lead managers told PSX on September 22 that the strike price was PKR 40, the floor, with participation of about PKR 1,429 million against PKR 900 million. No equivalent figure has been made public for the PKR 300 million retail tranche.

The silence stands out because the good news travelled fast. The book-building portion was publicised as fully subscribed within two hours of opening; the market would appreciate the same speed now, since an offering that counts its demand in hours when the book fills should not take a week to say how the public responded.

The rules put the clock on the company. Clause 5.5.8(a) of the PSX Rule Book requires it to inform the Exchange in writing of the subscription received, with certificates from the bankers to the issue, within three working days of closing. That window ended on Friday, October 2. Clause 5.5.8(b) and (e) then require shares to be allotted, refunds made and CDS accounts credited within five working days, which was Tuesday, October 6.

The number matters because of what follows if the public did not take all 7.5 million shares. The prospectus answers that: the underwriters.

The cover page, Section 9.1 and Section 12.1.1 say the retail portion is fully underwritten and that unsubscribed shares "will be taken up by the underwriter". Topline Securities and Growth Securities have each committed to 2,625,000 shares (PKR 105 million apiece) and Dawood Equities to 2,250,000 shares (PKR 90 million). They earn 1% on the amount underwritten, PKR 3 million in all, and a further 1% on whatever they take up.

The prospectus does carry one line that points elsewhere. Section 12.1.23 says an undersubscribed retail portion would be allotted pro rata to the successful book-building bidders. That provision is a holdover from the 100% book-building format, under which bidders bid for the entire issue and undertook to absorb any retail shortfall. The Company's offering is split 75/25 with the retail portion fully underwritten, so any shortfall goes to the underwriters.

A take-up would leave the three underwriters holding the shares and would trigger the 1% take-up commission, payable on top of the 1% underwriting commission, PKR 3 million in all, that they earn in any case.

The prospectus does not say what happens if an underwriter does not perform. It carries no default clause and no risk factor on the point, only the directors' opinion that the underwriters' resources are sufficient. The Rule Book's listing chapter disciplines the listed company, not its underwriters, and the Public Offering Regulations state the duty without attaching a penalty.

If the retail portion was fully subscribed, saying so would take one line. Instead, more than a week after the public paid in, applicants do not know how many shares they will get, the market does not know how much the underwriters hold, and no one outside the deal knows when the stock will list. The deadline has passed without a public number.

For an offering that rushed to announce its book was filled in two hours, the silence on the retail result is hard to explain, and the longer it lasts, the more investors will ask whether the listing is on track at all.
