WorldCall Telecom addresses shareholder queries on capital restructuring

August 06, 2026 (MLN): WorldCall Telecom Limited (PSX:WTL) has released a set of Frequently Asked Questions (FAQs) to address queries from shareholders and market participants regarding its ongoing capital restructuring scheme, following disclosures made to the Pakistan Stock Exchange (PSX) on July 31, 2026 regarding the reduction of share capital and a subsequent share split.

The company said in a notice to the PSX that after receiving multiple queries on the operational, technical, and financial mechanics of the scheme, it had prepared the FAQ document to ensure shareholders receive uniform and accurate information, and requested the Exchange to disseminate it among all TRE Certificate Holders and market participants.

According to the FAQs, the restructuring, sanctioned by the Lahore High Court, is being executed as a single composite transaction in two sequential stages: a 90% reduction in paid-up capital to cancel unrepresented capital and absorb accumulated losses, followed by a consequential 1-to-10 stock split that restores each shareholder's original share count.

The company clarified that while shares are temporarily reduced during Stage 1, the split in Stage 2 brings the total number back to pre-scheme levels, with only minor rounding variations of up to one share possible for holders of fractional balances under Court-approved rules.

The company said the scheme does not alter shareholders' voting rights, proportional ownership, or financial entitlements, as it involves no issuance of new shares, no distribution of assets, and no transfer of value between shareholders.

The face value of WTL's ordinary shares will fall from Rs10 per share to Re1 per share as a result of the reduction, though the PSX will not adjust the market price on an ex-basis, since the total number of shares held by investors remains unchanged.

WTL further clarified that GlobalTech Corporation (GTC), despite holding the largest stake in the company, receives no special privileges or preferential treatment under the Court-sanctioned scheme, which applies uniformly to all ordinary shareholders.

 The company added that the exercise is a non-cash, internal balance sheet adjustment, with no outflow of cash or assets to GTC or any other group entity, and that WTL's liquidity and operational asset base remain fully intact.

The FAQs also noted that Convertible Preference Shares (CPS) and debt instruments held by group entities remain unaffected, as the scheme applies exclusively to ordinary paid-up capital, while creditor obligations and liabilities remain unchanged, with no reduction, modification, or variance in amounts owed or in existing debt terms.

On the operational timeline, the company said the Central Depository Company (CDC) will process the restructuring in two phases due to technical limitations within the Central Depository System, even though the Lahore High Court approved it as a single unified recapitalization. Fractional entitlements during Stage 1 will see only whole shares credited before the split is applied, with holdings resulting in less than one full share allocated a minimum of one share under the Court-sanctioned rounding rule.
