Unity Foods: FIR relates to individual conduct, not Company

September 01, 2026 (MLN): Unity Foods Limited (PSX:UNITY) has clarified that the Company itself has not been named as an accused in the FIR registered against certain current and former officers and directors of the Company and its wholly-owned subsidiary, stating that the allegations remain unproven and relate to the individual conduct of the named officers rather than any wrongdoing by the Company.

The company said the Securities and Exchange Commission of Pakistan (SECP), vide a reference letter dated August 25, 2026, had referred certain matters concerning the Company and its subsidiary, M/s Sunridge Foods (Pvt) Ltd, to the Federal Investigation Agency (FIA) under Section 41-B of the SECP Act, 1997.

Following this referral, the FIA Corporate Crime Circle, Karachi, registered FIR No. FIR-CCC-KHI-15/26 dated August 29, 2026 under Sections 406, 420, 477-A, 109 and 34 of the Pakistan Penal Code, 1860.

The company maintained that the allegations do not constitute findings of fact or any adjudication by a court of law and are yet to be tested through due process.

It further noted that as a body corporate, it is legally separate from its officers and directors, and reiterated that it is cooperating fully with the relevant authorities while continuing to comply with all applicable legal and regulatory requirements.

Unity Foods said the disclosure was being made in the interest of transparency to keep shareholders and the investing public duly informed, and advised investors to exercise caution while dealing in the Company's shares and to seek independent advice before making any investment decisions.
