TPL Insurance receives acquisition intention from VEON Group

September 04, 2025 (MLN): TPL Insurance Limited (PSX: TPLI) has received an intention from VEON Group Holding Company Ltd and/or its subsidiaries/associated entities to potentially acquire shares and control of the Company beyond the thresholds prescribed under Section 111 of the Securities Act, 2015.

The intention remains subject to requisite regulatory approvals, due diligence, negotiations with sellers and execution of definitive agreements.

This development was notified to the Board of Directors of the Company on September 04, 2025.

The aforementioned information was disseminated through a notification to Exchange.

was incorporated in Pakistan in 1992 as a public limited company under the Companies Ordinance, 1984 (now Companies Act, 2017) to carry on general insurance business.

The Company was allowed to work as Window Takaful Operator on 04 September 2014 by Securities and Exchange Commission of Pakistan (SECP) under SECP Takaful Rules, 2012 to carry on General Window Takaful Operations in Pakistan.

The Company is owned 73.38% by TPL Corp Limited.
