Samba Bank acquisition PAO timeline extended by 90 days

August 18, 2026 (MLN): Samba Bank Limited has received an intimation of extension in the timeline for the Public Announcement of Offer (PAO) to acquire 84.51% shares and control of the bank by Najd Gateway Holding Company (the "Acquirer").

According to a notice sent to the Securities and Exchange Commission of Pakistan and the Pakistan Stock Exchange by Arif Habib Limited, Manager to the Offer, on behalf of the Acquirer, negotiations and discussions between the parties remain ongoing.

As a result of which the PAO could not be made within the 180-day period prescribed under Regulation 7(1) of the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017, which was set to expire on August 19, 2026.

The notice referred to the Public Announcement of Intention (PAI) published on February 20, 2026, and the Addendum to the PAI published on March 5, 2026, in relation to the proposed acquisition of 852,040,531 ordinary shares of Samba Bank Limited, constituting 84.51% of the total issued and paid-up capital of the bank.

In light of the ongoing negotiations, the Acquirer has extended the date for making the PAO by ninety (90) days under Regulation 7(1) of the Regulations.

Consequently, the deadline for making the PAO in respect of the proposed acquisition now stands extended to November 17, 2026.
