SECP eases IPO rules for partnerships, LLPs

June 04, 2026 (MLN): The Securities and Exchange Commission of Pakistan (SECP) has amended the Public Offering Regulations, 2017.

It is now easier for established businesses to list on the Pakistan Stock Exchange (PSX) through an Initial Public Offering (IPO), said a press release issued.

Under the changes, partnerships, Limited Liability Partnerships (LLPs), and carved-out business divisions can now use their pre-incorporation profitability to meet the two-year profitable track record requirement for an IPO.

To safeguard investor interests, eligible businesses will be required to submit financial statements for at least the two preceding financial years.

Furthermore, audited by a Quality Control Review (QCR)-rated firm, as well as audited statements for the period they operated as a public limited company.

Sponsors will also be subject to a two-year post-listing lock-in on their full shareholding.

The reforms aim to reduce listing barriers, promote corporatization, and broaden access to capital market financing.
