SE Fruits IPO: Rs1.2bn in Limbo, Investors Await Answers

October 12, 2026 (MLN): Thirteen days after the
general public finished subscribing to SE Fruits and Vegetable Limited’s (SEFL)
PKR 1.2 billion initial public offering, investors still do not know whether
they will receive shares, get their money back, or when the stock will list.
The company, the Pakistan Stock Exchange, the Securities and Exchange
Commission of Pakistan and the joint lead managers have said nothing in public.
The offering was for 30 million shares. Of these, 22.5
million (75%) went through book building and 7.5 million (25%) were reserved
for the general public. Book building closed on September 22 at the floor price
of PKR 40, with bids of about PKR 1,429 million against PKR 900 million on
offer, roughly 1.6 times covered. At that price, book-building investors are
committed for PKR 900 million and the retail tranche is worth PKR 300 million.
The money has already left investors’ accounts. Under the prospectus, successful book-building bidders pay through NCCPL one day after bidding closes. Retail applicants paid in full when they applied through the e-IPO systems before subscription closed on September 29.
None of it reaches
the company until the shares are credited and PSX issues a no-objection
certificate. Until then it sits in the system, earning investors nothing.
Both regulatory deadlines have passed. Clause 5.5.8(a) ofthe PSX Rule Book required the company to report the subscription received, with bankers’ certificates, within three working days, which was Friday, October 2.Clauses 5.5.8(b) and (e) required shares to be allotted, refunds made and CDS accounts credited within five working days, which was Tuesday, October 6.
That deadline is now four working days behind us, and no subscription result, allotment notice or explanation has been published.
The silence is hard to square with how the offering began.
The book was publicised as filled within two hours of opening, and the PKR
1,429 million demand figure reached the market the same day. Thirteen days
later, the market has not been told how the public responded or when the stock
will trade.
Several parties are responsible here, and all of them are
silent:
- The
company carries the Rule Book obligation to report results and allot
shares.
- Topline
Securities and Growth Securities, the joint Consultants to the Issue,
ran the offering and affirmed to PSX, “on solemn affirmation,” that the
prospectus was true and complete.
- PSX
approved the prospectus on September 7 and enforces the deadlines that
have been missed.
- SECP
approved the prospectus on September 9 and supervises all of them.
Investors are entitled to answers to four questions:
- Has
SEFL reported the subscription result to PSX, and if so, why has it not
been published?
- Has
PSX granted any extension to the allotment deadline, and on what grounds?
- Is the
offering under any regulatory review?
- When
will investors receive either their shares or their money?
For a small investor, PKR 40 a share is not a rounding error. It is money that has earned nothing for almost two weeks, in an offering whose status nobody will explain.
A PKR 1.2 billion offering raised on public trust owes the public an update. Silence does not prove anything is wrong, but after 13 days it doesn’t reassure anyone either. Someone has to answer for it.
