AGP shareholders approve restructuring plan

July 01, 2026 (MLN): Shareholders of AGP Limited have approved a scheme of arrangement for the corporate reorganization and restructuring of the company and its associated entities at the company's 7th Extraordinary General Meeting (EOGM).

Under the approved scheme, the entire undertakings of OBS AGP (Private) Limited and OBS Pakistan (Private) Limited will be merged into AGP Limited through amalgamation.

The restructuring also includes the bifurcation of OBS Pharma (Private) Limited into the OBS Pharma Demerged Undertaking and the OBS Pharma Retained Undertaking, with the demerged undertaking to be amalgamated into AGP Limited.

Similarly, Aitkenstuart Pakistan (Private) Limited will be divided into the Aitken Demerged Undertaking and the Aitken Retained Undertaking, with the Aitken Demerged Undertaking to be merged into AGP Limited.

The approved scheme also covers ancillary matters related to the restructuring, including the proposed change in the company's name, subject to the sanction of the High Court of Sindh at Karachi.

The aforementioned information was disseminated through a notification to Exchange.
