ENGROH's Board approves issuance of 722.94mn shares

January 10, 2025 (MLN): The Board of Directors of Engro Holdings Limited (PSX: ENGROH), has approved the allotment and issuance of an aggregate of 722.94 million ordinary shares having a face value of Rs10/- each.

This is pursuant to the Scheme of Arrangement between ENGROH, Engro Corporation Limited (PSX: ENGRO), and DH Partners Limited (PSX: DHPL) sanctioned by the Islamabad High Court on July 18, 2024.

These shares will be issued to all eligible shareholders of Engro Corp whose names appear in the register of members as of January 7, 2025, the company's filing on PSX revealed today.

No fractional shares will be allotted under the Scheme.

Instead, all fractional entitlements resulting from the swap ratio (less than one ordinary share of EHL) will be consolidated into whole shares and held in trust by the Company Secretary or a nominee.

These shares will then be disposed of as outlined in the Scheme.
