SOYASUP: Six Days, 11% Gain, Zero Rules Broken

September 22, 2026 (MLN): On September 15, 2026, Agro Processors
& Atmospheric Gases Limited, the 45-year-old maker of Soya Supreme, a name
that has sat in Pakistani kitchens for two generations, formally joined the
Pakistan Stock Exchange.
The Gong ceremony was the kind of
moment companies wait decades for, institutional demand had run 1.84 times the
book-building offer, retail investors had piled in 1.83 times over, and APAG's
leadership stood at the PSX trading hall calling it, in their own words, one of
the "star IPOs of 2026."
What the mandatory insider disclosures
filed in the days around that ceremony show is a very different story running
quietly underneath the celebration, one that raises a question far bigger than
one edible-oil company.
The timeline
Six days before the gong rang, on
September 9, Danish Elahi, Agro Processors & Atmospheric Gases Limited
(SOYASUP)’s second-largest shareholder, holding just over 20% of the company, bought
95,936 additional shares at PKR 33, the IPO's strike price. On the very same
day, Kiran Builders Developers (Private) Limited, a real-estate firm Danish
Elahi owns half of, bought 11,893 shares at the identical price.
Then came listing day. On September
15, the same day SOYASUP's shares began trading publicly for the first time,
both positions moved again, this time in reverse. Danish Elahi sold 173,378
shares. Kiran Builders sold its entire stake: all 11,893 shares, down to zero,
a complete exit on the very day the company it had just bought into went
public.
Both trades were executed not on the
open market, but through PSX's Negotiated Deal Market, a channel built for
privately arranged block trades, at PKR 36.75 per share. That is an 11% gain
locked in inside six days.
Meanwhile, in the regular open market
over roughly the same window, two of APAG's own executives, Company Secretary
Adnan and Head of Internal Audit Abdullah Iqbal, were buying small lots of their
own. Their price: PKR 30.12 to 30.22. Roughly 18% below what Danish Elahi's
block traded at, on the negotiated market, days apart.
None of it broke a single rule and
that is exactly the problem.
Here's why. Danish Elahi is not
classified as an APAG "sponsor" under PSX regulations. He is labeled
a "substantial shareholder", a different category entirely, and the
distinction is not just paperwork.
Sponsors face a lock-in period specifically designed
to stop this kind of rapid post-listing selling. Substantial shareholders, even
ones holding a fifth of the entire company, don't.
This is not speculation about APAG's
structure, it's on the record, in the company's own words. When we
questioned APAG's CEO directly, weeks before listing, about the company's
plans to widen its thin free float, his written answer drew this exact line:
sponsors are one group, "in the specific case of Danish Elahi and
family," a separate arrangement applies, a right-of-first-refusal, not a
lock-in.
Management confirmed, before any of
this trading happened, that Danish Elahi's stake sits outside the category that
would have restricted exactly what played out six days later.
To be clear about scale: Danish
Elahi's own holding barely moved. Before the sale, he held 20.42% of SOYASUP.
After selling 173,378 shares, he still holds 20.38%, a rounding error, not an
exit. This was not Danish Elahi cashing out of the company. It was proof of
something narrower and, in its way, more telling that a shareholder this large
could move a meaningful block of stock, at a negotiated price, within days of
listing, with none of the restrictions that would bind a formally designated
sponsor.

The bigger question
SOYASUP is not an isolated case, it is
a live illustration of a structural gap that sits underneath every book-built IPO
on PSX. A genuine IPO investor, holding shares bought at or near the strike
price, has little room to sell profitably on day one; the numbers simply are
not there yet.
Any large-volume, immediately
profitable selling on listing day has to be coming from someone who already
held shares beforehand, pre-listing insiders, promoter-linked entities, family
shareholders.
And that kind of selling is only
possible at scale when the seller is not bound by the lock-in that would normally
apply to exactly that category of holder.
The rule, as it stands, hinges on a
label. Whoever a prospectus chooses to call a "sponsor" gets
restricted. Whoever it calls a "substantial shareholder", even at
20%, even at 40%, does not, regardless of how closely tied they are to the
company's founding family, its board, or its management.
As more IPOs come to PSX, the same
question keeps coming up, should insider lock-in rules depend on what a company
calls its shareholders, or on how much of the company they actually own?
