Matco Foods secures court approval for corn starch merger scheme

December 12, 2025 (MLN): The Sindh High Court has sanctioned Matco Foods Limited (PSX: MFL)'s long-awaited corporate restructuring plan. 

This paved the way for the merger of its corn starch division with its wholly owned subsidiary, Matco Corn Products (Private) Limited.

In a notice to the Pakistan Stock Exchange, the company said the approval pertains to the Scheme of Arrangement filed under Sections 279 to 283 and 285(5) of the Companies Act, 2017.

The petition, bearing J.C.M. No. 21 of 2025, was approved without modification through an order dated December 8, 2025, the certified copy of which the company received on December 12, 2025.

The merger plan, first disclosed through a series of announcements between November 2024 and June 2025, aims to consolidate Matco’s corn starch operations under a single corporate structure to enhance efficiency and streamline business segments.

With the court's sanction, the Scheme and the Proposed Arrangement are now deemed effective from July 1, 2025.
