Gatron reshapes shareholding through scheme with NFL and G&T

January 28, 2026 (MLN): Gatron (Industries) Limited (PSX: GATI) Board of Directors on January 28, 2026 resolved to authorize the Company to enter into a Scheme of Arrangements with Nova Frontiers Limited (NFL) and Ghani & Tayub (Private) Limited (G&T).

The Scheme is subject to approval by the High Court of Balochistan at Quetta and the shareholders of the respective companies

Under the proposed Scheme, NFL will cancel shares held by certain categories of shareholders, resulting in a reduction in NFL's share capital, according to the company's filing on PSX revealed today.

In return, Gatron’s 29.33% shareholding currently held by NFL will be cancelled up to the ratio determined through valuation, and new shares of Gatron will be issued to the outgoing shareholders or beneficial owners of NFL based on a swap ratio determined by a professional valuer.

Additionally, Gatron will cancel 2.98% shareholding (3,240,774 shares) currently held by G&T and issue new Gatron shares directly to the shareholders of G&T.
