GCIL’s G3 Oil & Gas LLP incorporated with SECP

October 05, 2026 (MLN): Ghani Chemical Industries Limited (PSX: GCIL) has informed that G3 Oil & Gas Conversion LLP, which was previously described as “presently under formation,” has been duly incorporated with the Securities and Exchange Commission of Pakistan (SECP) on October 02, 2026, under the Limited Liability Partnership Act, 2017.
The development follows the company’s Notice of
Extraordinary General Meeting (EOGM) dated September 18, 2026, scheduled to be
held on October 10, 2026, along with the accompanying Statement of Material
Facts.
According to the company, the LLP is intended to serve as
the project silo for the Sono Lashari, Jandran and Maiwand gas projects
and as the entity through which the Tracked Business Unit relating to the
proposed Class B Tracking Shares will be operated.
Accordingly, references in the notice and its annexures to
the LLP as “under formation” shall now be read in light of its incorporation, the company said.
The proposed investment, guarantees, transfer of project
assets and related arrangements, along with the issuance of Class B Tracking
Shares, remain subject to the requisite shareholders’ approval at the EOGM and
other applicable approvals and conditions set out in the notice.
