FFC completes share issuance to Fauji Foundation

January 28, 2026 (MLN): Fauji Fertilizer Company Limited (PSX: FFC) has completed the proposed transaction involving the issuance of 15,914,566 ordinary shares to Fauji Foundation by way of other than right offer.

The issuance was made in consideration for the purchase of 214,687,500 ordinary shares of FFBL Power Company Limited held by Fauji Foundation.

The development follows earlier communications to the Pakistan Stock Exchange dated November 10, 2025, November 14, 2025, and December 08, 2025, in relation to the proposed issuance of share subject to shareholder approval and approval of the Securities Exchange Commission of Pakistan.

Shareholder approval for the proposed transaction was accorded at the Extraordinary General Meeting held on December 08, 2025, according to the company's statement issued today.

Subsequently, the Securities Exchange Commission of Pakistan also accorded its approval vide letter

Following the issuance of the shares, Fauji Foundation now holds 637,778,197 ordinary shares of Fauji Fertilizer Company Limited, representing approximately 44.32% of the issued and paid-up capital of the Company.

The total number of ordinary shares of the Company has increased from 1,423,108,696 shares to 1,439,023,262 shares after the issuance.
