Bank Makramah to issue shares to TFC holders

February 19, 2026 (MLN): Bank Makramah Limited (PSX: BML) has secured consent from the required threshold of Term Finance Certificate (TFC) holders to convert outstanding debt into equity, the bank said in a disclosure to the Pakistan Stock Exchange (PSX).

Under the arrangement, BML will issue 27.89 million shares against a total outstanding TFC amount of approximately Rs3.35 billion, subject to tax adjustments.

The newly issued shares will form part of the bank’s Tier 1 capital, strengthening its core equity base.

The share issuance remains subject to regulatory clearances and shareholders’ approval, the bank added.
